Terms of ServiceBy registering to use Web Cliento, the User agrees to all items outlined in these terms of service. This agreement applies to Web Cliento online CRM software, including all appurtenant media, written material, as well as any online or electronic documentation, hereinafter also referred to as "Software". "User" refers to any person who logs in to the Web Cliento or accesses the pages within the Software. Registration for Web Cliento without purchasing an initial subscription entitles the User to access the Software for the next 30 days. During that time, the User may create up to four (4) "added" users who will share the customer data. Following the initial 30-day trial period, the User must purchase a subscription to continue using the Software. Otherwise, the User is entitled to one tab-delimited data export of the User's customer data. USERS AND LICENSING A user account is defined as a username and password combination that allows someone to access the Software. Only one person is entitled to access the Software with this information. The user account information may not be leased, loaned, or otherwise transmitted to any other persons. DECOMPILING OR CIRCUMVENTING SOFTWARE The User is not entitled to alter, decompile, save, copy, retransmit, or otherwise tamper with the programming that runs Web Cliento Software. In addition, the User may not attempt to circumvent security restrictions to make any unauthorized access to the Software. "Unauthorized access" in this context refers to accessing any software or programming not entered by the user. ALTERATIONS / UPGRADES Erudite Systems, Inc., reserves the right to upgrade and/or alter the design and content of its Software products without prior notice. The subsequent availability of products identical to the Software contained within the scope of these Terms is therefore not provided for. APPLICATION PURPOSE Erudite Systems, Inc. does not warrant that the Software application purposes meet the individual User's requirements or that the Software is compatible with other programs selected by the User. SECURITY OF DATA
Security of customer data in Web Cliento Software is a top priority. To that end, Erudite Systems, Inc.
shall make the following efforts at protecting the privacy of CRM data: Erudite Systems, Inc., cannot and will not be held liable for breaches of security that circumvent these measures. LIMITATION OF LIABILITY Erudite Systems, Inc. shall be liable pursuant to applicable statutory provisions, to the extent that the User asserts claims for damages or reimbursement of expenses which concern intentional or grossly negligent conduct, including intentional or grossly negligent conduct by representatives or agents. All disputes with Erudite Systems, Inc. related to Web Cliento Software must be arbitrated in St. Louis, Missouri, USA. COLLECTION AND SHARING OF INFORMATION Erudite Systems, Inc. collects information about users who register for Web Cliento Software, including but not limited to name, address, e-mail address, and telephone number. Additional information, such as IP address, is collected when users interact with the Software. Erudite Systems collects and retains this information for internal monitoring and dispute purposes only. The information will not be sold or otherwise provided to third parties, except in the case that legal actions compel Erudite Systems, Inc. to do so. This policy will not change without 30 days of prior notice to all Software users. COPYRIGHT The copyright on the Software and all accompanying written material is the property of Erudite Systems, Inc. The User is not authorized to copy written material or documentation which accompanies the Software. |
